Welcome to Jdola. By accessing or using our mobile applications and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Jdola LLC ("Jdola," "we," "our," or "us").

2. Description of Services

Jdola provides AI-powered mobile applications designed to enhance productivity, knowledge management, and daily life organization. Our Services include but are not limited to:

• Jdola Mind: Personal knowledge assistant
• Jdola Flow: Intelligent daily planner
• Future applications in the Jdola ecosystem
• Associated cloud sync and AI processing services

3. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you must have permission from a parent or legal guardian. By using our Services, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws

4. Account Registration

4.1 Account Creation

To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to update this information to keep it accurate.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

5. Subscription and Payment

5.1 Free and Paid Services

We offer both free and paid subscription plans. Paid features require a valid payment method.

5.2 Billing

By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless canceled
• You will be charged at the beginning of each billing cycle
• Price changes will be communicated 30 days in advance

5.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We offer:

• 14-day free trial for new users (no credit card required)
• Pro-rated refunds for annual subscriptions canceled within 30 days
• No refunds for monthly subscriptions (except as required by law)

6. User Content and Data

6.1 Your Content

You retain all rights to content you create, upload, or store using our Services ("Your Content"). You grant us a limited license to process Your Content solely to provide and improve our Services.

6.2 Content Restrictions

You agree not to use our Services to create, upload, or share content that:

• Violates any law or regulation
• Infringes on intellectual property rights
• Contains malware or harmful code
• Is abusive, threatening, or harassing
• Violates privacy rights of others

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble our Services
• Attempt to gain unauthorized access to our systems

• Interfere with or disrupt the Services
• Use the Services for any illegal purpose

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for personal, non-commercial purposes, subject to these Terms.

9. AI and Machine Learning

Our Services use AI and machine learning to provide personalized experiences. By using our Services:

• You consent to AI processing of your usage patterns and content (primarily on-device)
• You understand that AI recommendations are automated and may not be perfect
• You acknowledge that anonymized data may be used to improve AI models
• You can opt out of cloud-based AI processing by disabling sync features

11. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JDOLA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Jdola, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using in-app settings. Upon termination, your data will be deleted according to our Privacy Policy.

13.2 Termination by Us

We may suspend or terminate your access to the Services if:

• You violate these Terms
• Your account has been inactive for over 2 years (free accounts only)
• We are required to do so by law
• Continuing to provide the Services creates legal or security risks

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email notification
• Displaying an in-app notice

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@jdola.com to attempt to resolve the dispute informally.

15.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware, USA.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class-wide arbitration.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jdola regarding the Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
